TERMS AND CONDITIONS FOR ESA COURSES

Welcome to the European Sponsorship Association (Company No. 02307794) (ESA, us or we).
By enrolling on the ESA Diploma, ESA Sponsorship Sales Certificate or ESA Leaders Programme (the relevant course being referred to as your Course), you agree to enter into a legally binding contract with ESA which can only be varied by agreement between you and us in writing. You accept and agree to be bound by these terms and conditions (these Terms) which include the fees schedule relating to your course (the Fees Schedule), which can be found at the end of these Terms.
1. How to enrol
Complete the relevant Enrolment Form for your Course.
Your invoice will be made out to the company name and address provided by you. Please therefore make sure the details are correct and include any special invoicing instructions e.g. Charity Registration Number.
If you are enrolling from outside the UK you will not be charged VAT.
Please make payment in full by the date shown on the invoice or in accordance with the Fees Schedule.
Please note that we are unable to accept payment by instalments and payment needs to be made in full before the start of the course, and, where applicable, before your login details (to the online learning website) can be provided to you.
Upon ESA’s receipt of your acceptance of your place on your Course, your contract with ESA will commence immediately. Your place will be confirmed automatically by email to your nominated email address.
Your personal data will be collected and processed by ESA in accordance with our Privacy Policy which can be found here.
ESA reserves the right to reject your enrolment if your enrolment will exceed the maximum number of candidates for your selected Course, which varies depending on your Course. Enrolment onto your Course is a on a first come, first served basis.
ESA retains the right to decide upon the final registration date for each of its courses and its decisions on this are final.
2. Your obligations
(a) Policies
By accepting your place on your Course, you accept and agree to be bound by and comply with:
- all of ESA’s policies and procedures published and updated from time to time on our website including (without limitation) our Privacy Policy, Deferral Policy and Website Terms of Use;
- all of ESA’s rules and regulations concerning your Course including attendance, disciplinary, IT and assessment rules;
- all eligibility requirements of any applicable regulatory or validating body or organisation of your Course as notified to you by ESA; and
- any other eligibility requirements in relation to your Course such as academic or language requirements as notified to you by ESA.
(b) Financial obligations
By accepting your place on your Course, you accept and agree that you shall pay all of your Course fees in accordance with the Fees Schedule or as detailed separately in these Terms.
Please note the following important terms:
- Your Course fees are payable in full at the time of enrolment. You will not be enrolled on your Course until payment has been received in full by ESA.
- Late payment of your Course fees may result in ESA having to cancel your place on your Course.
- If you decide to cancel your contract with ESA or withdraw from your Course once your Course has commenced, you shall be liable to pay your Course fees in accordance with the liability as set out in Part C of the Fees Schedule. If you decide to withdraw from your Course but wish to defer your place, transfer to another course, or resume your Course at a later date, ESA will try to accommodate such requests taking into account Course availability and other factors (but final decisions will be made at the absolute discretion of ESA). Where ESA agrees to the deferral or transfer of your place on your Course, you shall remain liable for the proportion of your Course fees as set out in Part C of the Fees Schedule unless otherwise agreed in writing with ESA.
- If you have been awarded a promotional discount by ESA you will receive the discount in accordance with the specific terms and conditions applicable to that discount.
- ESA reserves the right to charge additional prescribed fees for any re-assessments, re-registration, deferral or appeal fees, if any, as set out in these Terms or as notified to you from time to time.
- Your Course fees are refundable in accordance with the dates set out in Part A of the Fees Schedule. These are subject to change by ESA. After the date for requesting a full refund has passed, your Course fees are non-transferable and non-refundable (except in limited circumstances which will be assessed by ESA on a case-by-case basis and you accept and agree that ESA’s decision in relation to a transfer or refund of Course fees shall be final).
- Any “early bird” discounts, member rate prices or discounts and deadlines for refunds, if any, may change on a yearly basis and are set out in Part B of the Fees Schedule under the relevant Course. These discounts and deadlines are subject to change without prior notice to you but ESA will make reasonable efforts to update the Fees Schedule and inform you of any change where possible.
- To take advantage of any member rate prices or discounts, your ESA membership must be valid for the entire year in which you are participating in the course.
3. Deferrals
A request to defer is an application to cancel your place on your Course and reserve a new place on a later course on these same Terms (as amended from time to time). Please note that Course fees in relation to a later course are subject to change.
Deferral may not be available on all courses and there is no automatic right to defer. You may defer your place only once – thereafter at ESA’s discretion.
Should you wish to defer once your Course has commenced, your employer is required to make a formal written request to the relevant ESA Course Director by email or post. ESA will endeavour to respond to any deferral requests within 7 days.

For the ESA Diploma course:
Once your deferral request has been approved, you will then be able to continue your Course in the following year.
A discretionary administration fee of 10% of your Course fee may be charged for a deferral, payable before the start of the next course.
For the ESA Sponsorship Sales Certificate course and ESA Leaders Programme:
Once your deferral request has been approved, you will then be able to continue your Course in the next intake, for no extra fee.
ESA Sponsorship Sales Certificate candidates must complete their final assessment within 12 months of original enrolment (this gives you three opportunities to complete it, as the course is run three times per year).
4. Cancellation
(a) How to cancel
If you would like to cancel your place on your Course, you may do so by informing ESA in writing by email or post. Cancellation cannot be made by telephone. Please keep a copy of your e-mail, other correspondence and any acknowledgment by ESA regarding your cancellation request.

ESA will endeavour to acknowledge receipt of all received emails within 24 working hours of receipt. If you send an email to request a cancellation and you do not receive an acknowledgment by ESA within 24 working hours, please contact ESA to confirm that it has been received.
(b) Cancellation by ESA
ESA reserves the right to refuse or withdraw an offer or cancel your place on your Course for any of the following reasons:
- (i) If you have not paid your Course fees or the fees have otherwise not cleared or been received by ESA in accordance with these Terms;
- (ii) If you have any outstanding debt owed to ESA in relation to any other Courses offered by ESA;
- (iii) If you have not met the eligibility, academic or other criteria for your Course;
- (iv) If you fail to supply any requested documentation prior to enrolment which is required to confirm your place to study on your Course or to confirm your eligibility to study in the UK (this includes a failure to supply a valid passport or other acceptance form of identification as required by ESA or the UK Home Office);
- (v) If you fail to attend your Course in accordance with ESA requirements;
- (vi) If you are found to have committed gross misconduct or convicted of a criminal offence;
- (vii) If there are not enough students confirmed on your Course or if the number of students confirmed on your Course exceeds the number of places available on your Course; and/or
- (viii) If it becomes unviable or practically impossible for ESA to run or continue your Course.
ESA will refund in full all the fees of your cancelled Course if ESA is unable to run your course or cancels your place for the reasons listed at (vii) or (viii) above. However, ESA shall not be held liable for any remedy, damages or compensation beyond this.
5. Intellectual Property
ESA is the owner or the licensee of all intellectual property rights in the Course and any content and materials provided to you during the Course, including (without limitation) any course notes or handouts, any content contained in speaker presentations, any seminar videos or live streams of Course lectures and/or seminars, and any access ESA provides to you to third party learning portals and/or course websites (the Course Materials). You may download extracts of any page(s) of any Course Materials, provided that:
the materials shall not be reproduced or included in any other work or publication in any medium;
the materials may not be modified or altered in any way;
you may only use the materials for the purposes permitted in these Terms;
the materials may not be distributed or sold to any third party; and
you do not remove any copyright or other proprietary notices contained in the materials.
If you copy or use any part of the Course Materials, in breach of the Terms, your right to use the Course Materials will cease immediately and you must destroy any copies of the materials you have made.
By enrolling on an ESA course, you agree to transfer ownership of all submitted coursework to ESA.
6. General
These Terms (including any non-contractual obligations arising out of or in connection with these Terms) are governed by English law and are subject to the jurisdiction of the English courts.
ESA may transfer its rights and obligations under these Terms to any successor in title to its business or to any entity to which a substantial part of its business is transferred, and you authorise ESA as your agent to enter into an agreement with such successor or entity in substantially the same form as this agreement to procure that such successor or entity succeeds to all rights and obligations of ESA under these Terms. Alternatively, and at ESA’s sole discretion, you agree that you will execute any deed of novation that ESA reasonably requests to give effect to such transfer.
Failure or delay by ESA to exercise any of its rights or remedies (full or partial) under these Terms shall not constitute any form of waiver.
ESA will use its reasonable endeavours to deliver your Course in accordance with the description given to it on ESA’s website at the date of its commencement. However, ESA reserves the right to make any variations to your Course which it considers to be necessary.
These Terms (which include the Fees Schedule and any other documentation which has been expressly incorporated by these Terms or the Fees Schedule and any separate offer documentation and correspondence received by you and stated as forming part of these Terms) constitute the entire agreement between you and ESA. By accepting your place on your Course, you confirm that you have not relied on, and shall have no right or remedy in respect of, any statement, representation, assurance or warranty (whether made negligently or innocently) other than as expressly set out in these Terms.
ESA reserves the right to invite ESA members to selected – and ESA Diploma alumni to all – ESA Diploma seminars as part of its commitment to our industry’s continued professional development.
ESA reserves the right to change these Terms at any time and without prior notice to you.

C. Cancellation, Deferral and Transfer – Deadlines and Fee Liability
